Partner Terms of Service
1. Applicability and Acceptance
These Terms and Conditions (hereinafter: “Terms”) constitute the full agreement between the Partner (also referred to as “you”) and Conciliera in relation to the Partner offering Passenger Transport Services, Car Rental Services, VIP Meet & Greet Services, and Errand Services through the Conciliera Platform. Please review these Terms carefully before accepting them.
2. Definitions and Interpretations
“Conciliera” means Conciliera Inc., a private limited liability company duly incorporated and validly existing under the laws of the State of Florida, United States of America, having its registered office at 2125 Biscayne Blvd, Miami, FL 33137, USA.
“Partner” (or “you”) means a natural person or legal entity approved by Conciliera as a Partner and who agrees to these Terms.
“Terms” means this binding legal agreement between a Partner and Conciliera governing the use of the Conciliera platform and Partner App.
“Client” means a natural or legal person who books Services through the Client Portal.
“User” means a natural person being transported by a Chauffeur or assisted by an Agent based on a Client booking accepted via the Partner App.
“Services” means Passenger Transport Services, Car Rental Services, VIP Meet & Greet Services, and Errand Services provided by independent third-party service providers engaged by the Partner.
“Client Portal” means the mobile application software developed and offered by Conciliera to enable Clients to book Services.
“Partner Portal” means the mobile application software developed and offered by Conciliera via which Partners, Chauffeurs, or Agents authorized by the Partner can provide Services.
“Chauffeur” means an individual, including the Partner if a natural person or a third party engaged by the Partner, licensed to provide Passenger Transport and applicable Errand Services through the Partner Portal and Chauffeur App.
“Agent” means an individual, including the Partner if a natural person or a third party engaged by the Partner, licensed to provide Car Rental, VIP Meet & Greet, or applicable Errand Services through the Partner Portal and Chauffeur App.
“Errand” means a task involving a Chauffeur or Agent purchasing or collecting goods on a Client’s behalf and delivering them to a designated recipient.
“Goods” means products collected or purchased and delivered by a Chauffeur or Agent.
“Partner Dashboard” means online software provided by Conciliera that complements the Partner App, giving Partners insight into Services and projected remuneration.
3. Legal, Regulatory, and Insurance Requirements
3.1 Partner represents, warrants, and covenants that it complies with and will continue to comply with all applicable federal, state, and local laws, regulations, and codes of practice affecting the performance of these Terms, including but not limited to Passenger Transport, Car Rental, VIP Meet & Greet, and Errand Services, vehicle registration, driving hours, safety standards, and the provision of required insurance coverage for Partner, its vehicles, Chauffeurs, and Agents.
4. Vehicle Requirements
4.1 Partner must use only vehicles duly registered in the Partner Portal, publicly registered, authorized, and licensed for the provision of Services.
4.2 Vehicles must be smoke-free, clean, and equipped with appropriate safety and technical equipment.
4.3 Vehicles must be serviced and maintained according to manufacturer recommendations and comply with all applicable traffic regulations.
5. Chauffeur or Agent Requirements
5.1 Partner shall assign only Chauffeurs or Agents registered in the Partner Portal, properly licensed, experienced, cleared by criminal background checks (if required), and capable of performing the Services.
5.2 Partner shall ensure Chauffeurs and Agents follow Conciliera’s dress code recommendations.
6. Terms Specific to Errand Services
6.1 Partner shall comply with all applicable legal requirements for the transport of goods, including food safety, storage, temperature control, and cross-contamination prevention.
6.2 Partner shall refuse to transport goods that are hazardous, illegal, or otherwise unsafe.
6.3 Alcohol and tobacco may only be delivered to recipients 18 years or older; documentation verification is required if age is in doubt.
6.4 Partner shall ensure unattended deliveries are safe and discreet.
6.5 Partner acknowledges the limitations on Conciliera’s liability under Clause 20 are fair and reasonable.
7. Creating an Account
7.1 Partner must create an account to use the Partner Portal and Chauffeur App.
7.2 Conciliera may suspend accounts for fraudulent data, non-compliance with Terms, reorganization or bankruptcy, or failure to meet service standards.
8. Conditions of Use of Partner Portal and Partner Dashboard
8.1 Partner and assigned Chauffeurs or Agents must not misuse the Partner Portal or Chauffeur App, including attempts to access unauthorized accounts, copy software, or circumvent security systems.
8.2 Conciliera reserves the right to modify, withdraw, or charge for the Partner Portal or Chauffeur App.
8.3 Mobile Provider charges for access remain the Partner’s responsibility.
9. Remuneration
9.1 Conciliera will remunerate Partner for Services on a case-by-case basis as determined through automated or agreed processes.

9.3 Partners issue invoices to Conciliera for Services.
9.4 Payment fees for inbound transactions are borne by Partner; outbound fees are borne by Conciliera.
9.5 Conciliera may adjust remuneration for service delays, improper performance, or suspected fraud.
9.6 No minimum income is guaranteed.
9.7 Partner is fully responsible for tax compliance and shall indemnify Conciliera for any costs or liabilities arising from non-compliance.
10. Non-Solicitation of Users; No Collusion on Prices
10.1 Partner shall not solicit Users outside of the Conciliera platform or coordinate with other Partners on pricing or services.
11. No Subcontracting, Responsibility for Partner’s Chauffeurs or Agents
11.1 Partner may not subcontract Services without Conciliera’s prior written consent.
11.2 Partner is fully responsible for compliance with Terms by its Chauffeurs, Agents, employees, or subcontractors.
12. Confidentiality and Nondisclosure
12.1 Partner shall maintain the confidentiality of Conciliera’s business and User data, using it only as necessary to perform Services.
13. Non-Disparagement
13.1 Partner shall refrain from public statements or communications that disparage Conciliera, except when legally required.
14. Marketing and Advertising
14.1 Conciliera controls advertising and promotion of its Services at its sole discretion.
15. Transmission of Traffic and Location Data
15.1 Partner consents to transmission of location and traffic data from Partner, Chauffeurs, or Agents via the Partner App for service quality and location-based services.
16. Data Protection and Privacy
16.1 Conciliera processes personal data in accordance with its Privacy Policy: https://www.conciliera.com/privacy-policy/
16.2 Partner shall assist Conciliera in complying with all applicable data privacy laws.
17. Intellectual Property Rights
17.1 Conciliera owns all IP rights to its brand, Partner Portal, Chauffeur App, and underlying software. Partner receives a non-exclusive, non-transferable, revocable license to use the Partner Portal and Chauffeur App solely for business purposes under these Terms.
18. Availability of Partner Portal and Chauffeur App; Disclaimer of Warranties
18.1 Conciliera uses reasonable efforts to maintain availability but makes no guarantees.
18.2 Conciliera disclaims all implied warranties; the Partner Portal and Chauffeur App are provided “as is.”
19. Equipment Requirements
19.1 Partner is responsible for providing all tools and equipment necessary to perform Services, including vehicles, fuel, and compatible smartphones.
19.2 Conciliera may upgrade the Partner Portal and Chauffeur App periodically to support new functions.
20. Limitation of Liability
20.1 Conciliera is not liable for direct or indirect losses arising from the actions of Chauffeurs, Agents, Clients, or Users.
20.2 Conciliera’s aggregate liability for Errand Services is limited.
20.3 Nothing in these Terms excludes liability that cannot be limited under applicable law.
21. Termination
21.1 Either Party may terminate these Terms immediately upon written notice.

22.1 Complaints or questions: [email protected] 22.2 These Terms are governed by the laws of the State of Florida, USA, and Parties submit to the exclusive jurisdiction of state and federal courts in Miami-Dade County, Florida.
22.3 If any provision is unlawful or unenforceable, the remainder of the Terms remain valid.
22.4 Partner may not assign these Terms without Conciliera’s prior written consent.
22.5 Conciliera may update these Terms at any time; continued use of the Partner Portal and Chauffeur App constitutes acceptance.
